Terms of Service

These terms govern your use of ruOS hosted desktops, connected computers, AI assistant tools, integrations, computer use, and agent workflows.

Important. ruOS can control computers, type text, click interfaces, work with files, run authorized workflows, and communicate with connected services. Review consequential actions, keep reliable backups, and use ruOS only on systems and data you are authorized to access.

1. Agreement and eligibility

These Terms are an agreement between you and Cognitum One ("Cognitum", "we", "us") for ruOS. By creating an account, authorizing a ruOS connector or plugin for a supported AI assistant, connecting a computer, or using ruOS, you accept these Terms and the ruOS Privacy Policy.

You must be at least 18 and legally able to enter this agreement. If you use ruOS for an organization, you represent that you may bind that organization.

2. The service

ruOS provides hosted or user-connected computer workspaces and interfaces for viewing and controlling them, including through the ruOS dashboard, remote desktop, MCP, Claude, ChatGPT, and compatible agents. Features may include machine and fleet status, desktop lifecycle controls, screen viewing, pointer and keyboard input, bounded workflows, usage reporting, connected services, and collaboration or swarm functions.

Available features depend on the machine, operating system, installed agent, account permissions, plan, capacity, region, and client. A listed capability does not mean every machine or account can perform it.

3. Accounts and permissions

You are responsible for activity performed with your account except to the extent caused by Cognitum's breach of these Terms or applicable law.

4. Authority over systems and data

You may connect, view, or control only computers, accounts, websites, files, networks, and data that you own or are expressly authorized to use. You are responsible for obtaining required consent from employees, clients, collaborators, and other affected people.

You must comply with the rules and technical restrictions of websites and services you direct ruOS to use. ruOS may not be used to bypass access controls, rate limits, paywalls, security warnings, or another service's authorization requirements.

5. AI and computer-use actions

AI output and screen interpretation can be incomplete or wrong. Pointer coordinates, text entry, shell commands, and multi-step workflows may affect files, accounts, communications, infrastructure, or external services. You agree to:

6. Acceptable use

You may not use ruOS to:

Authorized security testing is permitted only within assets you own or have explicit permission to test, with scope and safeguards appropriate to the work.

7. Your content and feedback

You retain ownership of content you provide or create. You grant Cognitum a limited, worldwide, non-exclusive license to host, transmit, reproduce, and process that content only as necessary to provide, secure, support, and comply with law for ruOS.

You represent that you have the rights and permissions needed for content and instructions you submit. We do not claim ownership of your private desktop content and do not use it to train general-purpose AI models.

If you voluntarily provide product feedback, you allow us to use it without restriction or compensation, provided we do not identify you publicly without permission.

8. Third-party services

ruOS can interact with Anthropic, OpenAI, Cognitum, cloud infrastructure, AI model providers, GitHub, and other services you connect. Their own terms and privacy policies apply. You are responsible for maintaining appropriate accounts and permissions.

Cognitum is not responsible for third-party content, outages, account decisions, or changes outside our control. We may disable an integration that becomes insecure, unlawful, unavailable, or inconsistent with the provider's terms.

9. Plans, usage, and availability

ruOS may provide free or paid entitlements measured by machine count, active time, storage, network usage, model usage, or other disclosed units. The service may pause, stop, or decline a task when a limit is reached. Free hosted desktops may be suspended and become eligible for deletion after 7 consecutive idle days.

A ruOS AI-assistant integration may let you use features already included in your existing ruOS account. It does not sell digital subscriptions, credits, or other digital goods, and it does not provide or link to checkout, upgrade, or other transactional flows.

We may modify features, limits, regions, or preview functionality. We aim for reliable service but do not guarantee uninterrupted or error-free availability.

10. Privacy and security

Our processing is described in the ruOS Privacy Policy. You agree not to send passwords, API keys, MFA codes, payment-card data, government identifiers, or protected health information through AI-assistant prompts or ruOS tool fields.

We use technical and organizational safeguards, but no system is perfectly secure. You are responsible for configuring connected computers, local applications, user accounts, and backups appropriately.

11. Suspension and termination

You may stop using ruOS, revoke OAuth access, disconnect machines and integrations, and request account deletion. We may limit or suspend access to protect users or systems, investigate suspected abuse, comply with law, address non-payment, enforce usage limits, or prevent material harm.

Where practical, we will provide notice and a reasonable opportunity to cure. We may act immediately for an urgent security, legal, or safety risk. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, limitations, and dispute terms—will survive.

12. Disclaimers and limitation of liability

To the maximum extent permitted by law, ruOS is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

To the maximum extent permitted by law, Cognitum will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity arising from ruOS.

Except for liability that cannot legally be limited, Cognitum's total liability arising from ruOS during the 12 months before the event giving rise to the claim will not exceed the greater of CAD $100 or the amount you paid Cognitum for ruOS during that period.

13. Governing law, changes, and contact

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Ontario have exclusive jurisdiction, except where consumer law gives you a mandatory right to proceed elsewhere.

We may update these Terms. Material changes will be posted with a revised effective date and additional notice where required. Continued use after the effective date means you accept the updated Terms.
